These Terms govern your use of Orizon Analytics. By accessing or using our service,
you agree to these terms.

1. INTRODUCTION

1.1. Introduction

These Terms of Service (“Terms“) govern your access to and use of the Orizon Analytics platform (referred to as the “Platform” or “Orizon” or “Orizon Analytics”), including all features, content, tools, data, and services provided through the website, mobile application, and any associated software (collectively, the “Platform“). Please read these Terms carefully before using the Platform. By accessing or using the Platform, you agree to be bound by these Terms and to comply with all applicable laws and regulations. You may not access or use the Platform if you disagree with these Terms.

1.2. Platform Operator

The Platform is operated and maintained by Orizon Analytics LLC, a limited liability company organized under the laws of the State of Wyoming, with its principal place of business located at 30 N Gould St #49846, Sheridan, WY, 82801, USA. All references to “we,” “us,” “our,” or “Orizon” in these Terms refer to Orizon Analytics LLC.

1.3. Account and Subscription

By creating an account, subscribing to any plan (including the Free, Pro, or Premium tiers), or otherwise accessing or using any part of the Platform, you confirm that you are legally able to enter into this agreement and agree to comply with and be legally bound by these Terms. You also acknowledge and agree that these Terms apply to all use of the Platform, whether on a trial basis, a free plan, or under a paid subscription.

1.4. Use on Behalf of a Company

If you are using the Platform on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind such entity to these Terms, in which case “you” or “your” will refer to that entity.

1.5. Changes to Terms

We may update or modify these Terms occasionally at our sole discretion. If we make material changes, we will notify you by email (if you have provided one) or by prominently posting a notice on the Platform. Your continued use of the Platform after such changes become effective constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. If you disagree with the updated Terms, you must discontinue using the Platform.

2. DEFINITIONS

1.1. Definitions

The following terms shall have the meanings set forth below for these Terms of Service. These definitions apply whether the terms are used in the singular or plural form.

  • “Platform” refers to the web-based and/or mobile software-as-a-service (SaaS) application known as Orizon Analytics (the “Platform” or “Orizon”), including all related websites, services, content, software, data, analytics tools, APIs, features, and functionality made available by Orizon Analytics LLC.
  • “User,” “you,” or “your” means any individual or entity who accesses, registers for, or uses the Platform, including both free and paid account holders.
  • “Account” means a registered user profile created to access and use the Platform. An Account may be associated with a Free, Pro, or Premium subscription plan or a trial period, or a Beta Access period during which users may test new or experimental features.
  • “Services” means the analytics, data visualization, portfolio performance tools, market insights, and related functionalities provided via the Platform, including, but not limited to, manual entry, CSV import, or third-party API integrations.
  • “Subscription Plan” refers to the type of user access selected, whether Free, Pro, or Premium, including applicable billing cycles (monthly or annually) and associated features.
  • “Third-party services” means any external services, APIs, data providers, or platforms that Orizon integrates with, including brokerage data aggregation services and market data feeds.
  • “Content” means any data, reports, text, graphics, visuals, software, code, or other material made available on or through the Platform, whether by Orizon or other third parties.
  • “Terms” refers to these Terms of Service, as amended occasionally.
  • “We,” “us,” “our,” “Orizon,” or “Orizon Analytics” refers to Orizon Analytics LLC.

1.2. Eligibility

To access or use the Platform, you must be at least 18 or the age of majority in your jurisdiction, whichever is greater. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement with Orizon Analytics LLC.

The Platform is not intended for, and may not be used by, anyone under 18. If we discover or have reason to believe that you do not meet the minimum age requirement, we reserve the right to suspend or terminate your Account immediately. The Platform is operated from the United States and is intended for use by individuals in jurisdictions where the Services may lawfully be offered.

You may not access or use the Platform if you are located in a country or region that is subject to U.S. government sanctions or embargoes, on any U.S. government list of prohibited or restricted parties (including the Specially Designated Nationals (SDN) list maintained by the U.S. Treasury Department); or prohibited from using the Platform under any applicable laws or regulations.

You are responsible for ensuring that your use of the Platform complies with all local, state, national, and international laws and regulations applicable to you.

3. ACCOUNT REGISTRATION AND ACCESS

3.1. Account Creation

To use certain features of the Platform, you must register for an account (“Account“) by providing a valid email address, creating a secure password, and supplying any other required information. By registering, you agree to provide accurate, current, and complete information and to update such information promptly if it changes.

Each user may only create and maintain one Account unless expressly authorized by Orizon Analytics LLC. We reserve the right to refuse registration, limit access, or terminate Accounts at our discretion if we believe any provided information is inaccurate, misleading, or fraudulent.

3.2. Account Security and User Responsibilities

You are solely responsible for maintaining the confidentiality of your login credentials and all activities under your Account. You agree to keep your login credentials secure and not share them with any third party, notify us immediately if you suspect any unauthorized access to or use of your Account, or log out of your Account at the end of each session, especially when accessing the Platform from a public or shared device.

Orizon Analytics LLC is not liable for any loss or damage arising from your failure to comply with these obligations. You are fully responsible for all activities conducted through your account, whether or not you authorize them. You may terminate your Account at any time by following the instructions in your account settings or contacting our support team.

We reserve the right, in our sole discretion, to suspend or terminate your Account and/or access to the Platform at any time and for any reason, including but not limited to violations of these Terms or other policies, abuse or misuse of the Platform, suspected fraudulent activity, and actions that may cause harm or liability to other users, third parties, or Orizon Analytics LLC.

Upon termination of your Account, your right to use the Platform will immediately cease, and we may delete or deactivate your Account and any associated data in accordance with our data retention policy. Please refer to our Privacy Policy for details on data handling upon account termination.

4. SUBSCRIPTION PLANS AND PAYMENT

4.1. Overview of Plans:

Orizon Analytics will offer a subscription plan that will accommodate our users needs:

  • Beta Access — From time to time, we may invite users to participate in a Beta Access period, during which select features, tools, or updates are made available before general release. Beta Access may be offered to users on any plan, at our discretion. These features are experimental and may be modified or removed at any time. Participation in Beta Access is optional and may be subject to separate terms or limitations.

Details on the features included in each plan are available on our pricing page or within the Account Settings.

4.2. Free Trial Details (30-Day Trial Terms)

New users may be eligible for a 30-day free trial of the Premium Plan, granting full access to all available features during the trial period. At the end of the trial, users must choose a subscription plan or will automatically be downgraded to the Free Plan.

Only one free trial is permitted per user. Trial periods are non-transferable and may not be combined with other offers unless explicitly stated.

4.3. Pricing and Billing Cycles (Monthly/Annual)

Subscription fees are billed in advance based on the selected billing cycle (monthly or annual). All fees are stated in U.S. dollars unless otherwise specified. We reserve the right to modify pricing and plan features at any time. Any changes will take effect at the start of the next billing cycle, and users will be notified in advance when applicable.

4.4. Payment Processing and Authorized Payment Methods

We use third-party payment processors to handle subscription payments. By subscribing to a paid plan, you authorize us and our payment processors to charge your selected payment method (e.g., credit card, debit card, digital wallet) for the applicable fees.

You are responsible for ensuring that your billing information is current and accurate. Failure to provide valid payment information may result in suspension or termination of your Account.

4.5. Non-Refundable Payment Policy

All payments are non-refundable, including payments made in advance for monthly or annual subscriptions, regardless of whether the service is used. No partial refunds or credits will be provided for downgraded or unused time. By subscribing, you acknowledge and agree to this no-refund policy.

4.6. Automatic Renewal and Cancellation

All paid subscriptions are set to automatically renew at the end of the billing cycle (monthly or annually) unless canceled before the renewal date. The applicable subscription fee will be charged to your payment method on file.

You may cancel your subscription at any time through your Account settings. Cancellations take effect at the end of the billing cycle, and no additional charges will be made after cancellation. Access to paid features will continue until the end of the billing period.

4.7. Upgrades, Downgrades, and Plan Switching

You may upgrade or downgrade your subscription plan anytime through your Account settings. Changes in subscription level may take effect immediately or at the beginning of the next billing cycle, depending on the nature of the change.

  • Upgrades: If you upgrade during a billing cycle, the applicable fee for the new plan will be prorated and charged immediately.
  • Downgrades: Downgrades will take effect at the end of the current billing cycle.

Certain features or data associated with higher-tier plans may no longer be accessible if you downgrade your subscription.

5. USE OF THE PLATFORM

5.1. Permitted Uses

You may use the Platform solely for personal, non-commercial purposes to access data analytics and insights related to your investment portfolio. Permitted uses include creating and managing an Account, entering, importing, or syncing your investment data, viewing analytics, charts, and reports for your portfolio, accessing features included in your selected subscription plan, and using the Platform in accordance with applicable laws and these Terms.

5.2. Prohibited Uses

You agree not to use the Platform for any unlawful or prohibited purpose. Prohibited uses include, but are not limited to:

  • Reproducing, distributing, or publicly displaying any part of the Platform or its content without express written permission;
  • Reverse engineering, decompiling, or attempting to extract the source code of any software used by the Platform;
  • Sharing, selling, licensing, sublicensing, or redistributing reports, insights, or data generated by the Platform;
  • Using the Platform to collect or harvest data from other users;
  • Circumventing usage limitations, rate limits, or security mechanisms;
  • Uploading any content that is false, misleading, infringing, or otherwise violates applicable laws;
  • Using automated tools (e.g., bots, scrapers) to interact with the Platform outside of approved API usage;
  • Impersonating another individual or entity or misrepresenting your affiliation with any person or organization.

Violation of these rules may result in suspension or termination of your Account.

5.3. Fair Use and API Rate Limiting Policy

To ensure consistent performance and equitable access, API usage is subject to fair use limits as described below:

  • Daily Limit: 5,000 requests per day
  • Rate Limit: 50 requests per second
  • Burst Limit: 100 requests in a short time window (e.g., 1–2 seconds)

These limits protect system stability and may be adjusted based on your subscription plan.

Orizon Analytics LLC reserves the right to modify or adjust usage limits at any time, with or without prior notice, to improve platform performance, prevent system abuse, and support infrastructure scaling.

If your usage consistently exceeds the stated limits, we may contact you to discuss alternative plans or request that you reduce your usage. Continued violation of limits may result in throttling, suspension, or termination of API access.

5.4. User Content and Data Import (Manual, CSV, API)

You can currently submit your portfolio data to the Platform via Manual Entry by directly inputting holdings and positions.

The following data import methods are planned for future release and may be available depending on your subscription plan:

  • CSV Import: Upload your data via a structured spreadsheet format.
  • API Integration: Connect your brokerage account(s) via read-only third-party APIs.

Please note that the availability and functionality of future features are subject to change at our discretion.

These options are not mutually exclusive—users may utilize one, two, or all three methods as available under their plan. You are solely responsible for ensuring the accuracy, completeness, and legality of the data you upload or sync. You must have the necessary rights to submit such data and represent that doing so does not infringe any third-party rights or violate applicable laws.

Orizon Analytics does not access, store, or use your brokerage login credentials. All data retrieved through third-party integrations is read-only and used exclusively to deliver analytics and insights within your account.

6. THIRD-PARTY SERVICES AND INTEGRATIONS

6.1. Market Data API Usage

Orizon Analytics utilizes third-party market data APIs to deliver real-time and historical financial data, including stock prices, market indices, asset performance, and related metrics. These services are used solely to provide analytics and insights throughout your entire account.

We do not share personally identifiable information (PII) or user-submitted portfolio data with these market data providers. The integration is strictly one-way (data into Orizon) and limited to retrieving financial and market information.

6.2. Brokerage Account Syncing (Future Feature)

We plan to support integrations with third-party services to enable brokerage account syncing through secure APIs in a future release. These integrations will allow users to connect with supported financial institutions and automatically import their investment data into the Platform.

Please note that all brokerage integrations, when available, will operate in read-only mode, with no capability for executing trades, transferring funds, or altering brokerage account settings. They will be optional and user-initiated, requiring explicit consent during setup, and will comply with industry-standard security protocols to protect data transmission.

We will not store brokerage credentials. Connections will be facilitated through third-party aggregation services that comply with applicable security and privacy standards.

Please note that the availability and functionality of future features are subject to change at our discretion.

6.3. Disclaimer on Third-Party Services

The Platform may contain links to or integrate with third-party services, APIs, software components, or data providers (“Third-Party Services“). These services are not operated or controlled by Orizon Analytics LLC, and we are not responsible for the content, availability, performance, or security.

Use of any Third-Party Services is at your own risk and subject to those third parties’ terms and privacy policies. We make no warranties or representations regarding the reliability or accuracy of third-party data and disclaim any liability arising from your use of such services or the results generated from them. Orizon Analytics LLC is not liable for any disruption, inaccuracy, or limitation in functionality resulting from failures or changes in third-party services or data sources.

7. NO FINANCIAL OR INVESTMENT ADVICE

7.1. Informational and Analytical Purpose Only

All content, tools, data, charts, and insights provided through the Orizon Analytics platform are offered solely for informational and analytical purposes. The Platform is designed to help users better understand and visualize their investment portfolios through data analytics and reporting features.

Nothing on the Platform constitutes or should be construed as financial, investment, tax, or legal advice. No content or functionality is intended as a recommendation, endorsement, or offer to buy or sell any security or investment.

7.2. No Fiduciary Relationship

Your use of the Platform does not create a fiduciary, advisory, or client relationship between you and Orizon Analytics LLC. We are not registered as a broker-dealer, investment advisor, or financial planner and do not perform any regulated financial services.

You acknowledge and agree that Orizon Analytics does not act as your agent, advisor, or fiduciary and has no duty to act in your best interest or to monitor your financial activities.

7.3. User Responsibility for Investment Decisions

You are solely responsible for any investment decisions or actions based on your interpretation of the data or insights on the Platform. You acknowledge that investing involves inherent risk, including the loss of principal, past performance is not indicative of future results, and the information presented may not be complete, up to date, or applicable to your circumstances. Before making any financial or investment decisions, consult a licensed financial advisor, tax professional, or legal advisor. Orizon Analytics LLC disclaims all liability for decisions based on information derived from or presented by the Platform.

8. INTELLECTUAL PROPERTY

8.1. Ownership of Platform and Content

All content, software, data, code, designs, text, graphics, reports, analytics, charts, user interface elements, trademarks, and other materials provided through the Orizon Analytics platform (collectively, the “Content“) are the sole and exclusive property of Orizon Analytics LLC or its licensors.

All rights, title, and interest in and to the Platform and Content—including all associated intellectual property rights—are reserved and protected under applicable copyright, trademark, and other intellectual property laws. You acknowledge that you do not acquire any ownership interest in the Platform or its Content by accessing or using the services.

8.2. License to Use Platform

Subject to your compliance with these Terms, Orizon Analytics LLC, grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform and its features for your personal, non-commercial use in accordance with your selected subscription plan. This license is granted solely to view and analyze your investment portfolio using the tools provided by the Platform.

8.3. Restrictions on Copying, Reverse Engineering, or Redistribution

You may not, directly or indirectly:

  • Copy, reproduce, modify, republish, upload, post, transmit, or distribute any part of the Platform or its Content without express written permission from Orizon Analytics LLC;
  • Rent, lease, sublicense, sell, resell, or exploit any portion of the Platform or access to it;
  • Use the Platform or any Content to create derivative works or competitive products;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to extract or discover the source code or underlying algorithms of any portion of the Platform;
  • Circumvent or disable any security features or technical limitations of the Platform;
  • Share or redistribute any data, reports, or analytics generated by the Platform to third parties without our prior written consent.

Any unauthorized use of the Platform or its Content constitutes a breach of these Terms and may result in immediate termination of your Account, in addition to legal remedies available under applicable law.

9. USER CONDUCT AND RESPONSIBILITIES

9.1. Accuracy of Information

You agree to provide and maintain accurate, complete, and up-to-date information about your Account and any data you import or input into the Platform. This includes your registration details and any personal or portfolio-related information used to generate analytics.

You are solely responsible for verifying the accuracy and reliability of any data you upload, manually enter, or sync with the Platform. Orizon Analytics LLC is not responsible for errors, omissions, or misrepresentations in user-submitted content or imported data.

9.2. Prohibited Behavior

You agree not to engage in any activity that violates these Terms, applicable laws, or the rights of others. Specifically, you agree that you will not:

  • Use the Platform for any unlawful, fraudulent, or harmful purpose;
  • Access, attempt to access, or use another user’s Account without authorization;
  • Upload, post, transmit, or otherwise distribute any content that is unlawful, defamatory, harassing, obscene, or otherwise objectionable;
  • Introduce viruses, malware, or other harmful code into the Platform;
  • Use bots, crawlers, scrapers, or other automated means to access, extract, or index the Platform or its content;
  • Attempt to gain unauthorized access to systems or networks connected to the Platform;
  • Interfere with, disrupt, or attempt to overload or disable the Platform or its infrastructure;
  • Misuse API access to exceed rate limits or circumvent system controls;
  • Reproduce, duplicate, sell, or exploit any part of the Platform for commercial purposes without express written permission;
  • Misrepresent your identity or affiliation with any person or organization in connection with your use of the Platform.

Orizon Analytics LLC reserves the right to investigate violations of this section and may take any action it deems appropriate, including suspending or terminating your Account, taking legal action, or reporting to law enforcement authorities.

10. TERMINATION AND SUSPENSION OF SERVICE

10.1. By User

You may terminate your Account and stop using the Platform at any time. To do so, you must follow the account cancellation procedures available within your account settings or contact our support team directly.

Termination by the user will take effect at the end of the current billing cycle (if on a paid plan), will not entitle you to any refund for unused time or features, and will result in the loss of access to premium features, data insights, and stored analytics beyond what is available in the Free Plan. If you no longer wish to be bound by these Terms, you must discontinue use of the Platform and delete your Account.

10.2. By Orizon Analytics LLC

Orizon Analytics LLC reserves the right, in its sole discretion, to suspend or terminate your access to the Platform, with or without notice, for any reason including, but not limited to, violation of these Terms or any other applicable policies, abuse, misuse, or excessive resource consumption, extended periods of inactivity, suspected unauthorized, fraudulent, or harmful behavior, compliance with legal or regulatory requirements, or the discontinuation of the Platform or any of its components.

In the event of termination for cause, you may lose access to all features, data, and services immediately. If your Account is terminated for a breach of these Terms, you are not entitled to any refund.

10.3. Effect of Termination

Upon termination of your Account:

  • Your license to use the Platform and any services provided under these Terms will immediately end;
  • You will no longer have access to your Account or any associated data, reports, or insights;
  • Orizon Analytics may delete your Account and associated data from its systems, subject to its data retention obligations under applicable law;
  • Sections of these Terms that should survive termination (e.g., intellectual property rights, disclaimers, limitation of liability, indemnity, and dispute resolution provisions) will continue to apply.

You are responsible for exporting or backing up any data or reports from the Platform before terminating your Account. We are not obligated to maintain or provide access to your data after termination.

11. DISCLAIMERS AND LIMITATION OF LIABILITY

11.1. No Warranties

The Platform and all content, data, insights, and services provided by Orizon Analytics LLC are offered on an “as is” and “as available” basis without warranties, express or implied. To the fullest extent permitted by law, Orizon Analytics LLC disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or reliability of data or insights, compatibility with your devices or systems, and uninterrupted or error-free operation of the Platform.

You use the Platform at your own risk. We do not guarantee that our services meet your expectations or produce any specific financial or analytical outcome.

11.2. Service Availability and Accuracy of Data

While we strive to provide continuous, secure, and accurate access to our services, Orizon Analytics LLC does not warrant that the Platform will be available at all times or free from interruptions, errors, or delays, that it will be free of viruses or other harmful components, or that it will always display the most accurate or up-to-date financial data.

Data presented through the Platform may be subject to delays, inaccuracies, or omissions due to reliance on third-party APIs and data sources. We are not responsible for errors or interruptions in service caused by these third-party providers.

11.3. Limitation of Damages

To the maximum extent permitted by law, in no event shall Orizon Analytics LLC, its affiliates, licensors, service providers, employees, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits or revenue, loss of data or business opportunities, service interruptions or system failures, errors or inaccuracies in data analytics or reports, and losses resulting from investment decisions made in reliance on the Platform.

Our total liability for any claim arising out of or related to these Terms or your use of the Platform shall not exceed the amount paid by you (if any) for the service in the three (3) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow limitations of liability, so the above exclusions may not apply to you in full.

11.4. Indemnification by Users

You agree to defend, indemnify, and hold harmless Orizon Analytics LLC and its officers, directors, affiliates, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use or misuse of the Platform, your violation of these Terms or applicable law, any data or content you submit, upload, or import to the Platform, or your infringement or alleged infringement of any intellectual property, privacy, or other rights of a third party.

We reserve the right to assume exclusive control of the defense of any matter subject to your indemnification, in which case you agree to cooperate fully with us in such defense.

12. CHANGES TO THE SERVICE

12.1 Feature Updates and Modifications

Orizon Analytics LLC reserves the right to modify, enhance, improve, update, or remove any aspect of the Platform at any time, with or without prior notice. This may include changes to features or tools, user interface or design, performance enhancements, usage limits and API access policies, and subscription plan details or pricing structure. These changes may improve user experience, address security or legal compliance issues, respond to user feedback, or adapt to evolving market or technology standards.

We are not obligated to maintain any particular feature, functionality, or version of the Platform, and your continued use of the Platform following any such changes constitutes your acceptance of them.

12.2 Discontinuation of Services or Plans

At our sole discretion, we may discontinue, suspend, or sunset all or any part of the Platform, a specific subscription plan, or a particular service feature, either temporarily or permanently.

In such cases, we will make reasonable efforts to provide prior notice to affected users, offer options to migrate to alternative plans or services, and preserve access to your data for a reasonable period, subject to our data retention policies.

Orizon Analytics LLC is not liable for any losses, damages, or inconvenience that may result from the discontinuation or unavailability of the Platform or any part thereof. If you are a paid user, your sole remedy in such cases may be a prorated refund for the unused portion of your current subscription term—only if the service is permanently discontinued and you cannot use a materially similar offering.

13. DISPUTE RESOLUTION

These Terms, your use of the Platform, and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Platform, or any services provided by Orizon Analytics LLC shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration will be conducted in English by a single arbitrator in a location mutually agreed upon by the parties or, if no agreement is reached, in Sheridan County, Wyoming. It will proceed with limited discovery and procedures to ensure a prompt and cost-effective resolution. Judgment on the arbitration award may be entered in any court having jurisdiction. You and Orizon Analytics LLC waive any right to a jury trial or litigate court disputes (except for small claims, as noted below).

13.1. Waiver of Class Actions

You agree to resolve any dispute with Orizon Analytics LLC individually, not as part of a class, consolidated, or representative action. To the fullest extent permitted by law, class arbitrations, class actions, private attorney general actions, and the consolidation of individual arbitrations are strictly prohibited. Each party expressly waives any right to participate in or bring a class action or seek relief on a class basis.

13.2. Informal Resolution Process

Before initiating formal arbitration or legal action, you agree to attempt to resolve the dispute informally by contacting us at support@orizonanalytics.io and providing a written description. We will attempt to resolve the matter in good faith within 30 days of receiving your written notice. If the dispute is unresolved within this time frame, either party may proceed with arbitration as described above.

Either party may bring an individual action in small claims court in Sheridan County, Wyoming, if the claim qualifies and is brought solely individually.

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms, along with our Privacy Policy and any other legal notices or policies posted on the Platform, constitute the entire agreement between you and Orizon Analytics LLC with respect to the use of the Platform.
