TERMS OF SERVICE
These Terms govern your use of Orizon Analytics. By accessing or using our service, you agree to these terms.

1.1. Introduction
These Terms of Service (“Terms“) govern your access to and use of the Orizon Analytics platform (the “Platform” or “Orizon” or “Orizon Analytics”), including all features, content, tools, data, and services provided through the website, mobile application, and any associated software (collectively, the “Platform“). Please read these Terms carefully. By accessing or using the Platform, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, do not access or use the Platform.
These Terms incorporate by reference our Privacy Policy, which describes how we collect and use personal information, and any supplemental terms presented for specific features or programs. If a conflict exists between these Terms and supplemental terms for a specific feature, the supplemental terms will control for that feature.
1.2. Platform Operator
The Platform is operated by Orizon Analytics LLC, a Wyoming limited liability company with its principal place of business at 30 N Gould St #49846, Sheridan, WY, 82801, USA. References to “we,” “us,” “our,” or “Orizon” mean Orizon Analytics LLC.
1.3. Account and Subscription
By creating an account, subscribing to any plan (including the Free, Pro, or Premium tiers), or otherwise using any part of the Platform, you (a) accept these Terms and (b) represent that you have the legal capacity to enter into a binding agreement. These Terms apply to all use of the Platform, whether on a trial basis, a free plan, or under a paid subscription.
1.4. Use on Behalf of a Company
If you use the Platform on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind such entity to these Terms. In that case, “you” and “your” refer to the entity, and you also agree to these Terms in your individual capacity.
1.5. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email (if provided) and/or by prominently posting a notice on the Platform. Unless a different effective date is stated in the notice (or required by law), changes take effect when posted. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms. If you do not agree to updates, you must stop using the Platform and, if applicable, cancel your subscription.
2.1. Definitions
The terms below have the meanings indicated and apply whether used in the singular or plural.
“Account” means a registered user profile created to access and use the Platform. An Account may be associated with a Free, Pro, or Premium subscription plan or a trial period, or a Beta Access period during which users may test new or experimental features.
“Beta Features” means any pre-release or experimental features, tools, or services we make available for evaluation, testing, or feedback, which may be modified, suspended, or discontinued ay any time.
“Content” means data, reports, text, graphics, visuals, software, code, user interface elements, documentation, and other materials made available on or through the Platform by Orizon or third parties.
“Documentation” means any user guides, help center articles, policies, or other technical or support materials we provide about the Platform.
“Services” means the analytics, data visualization, portfolio performance tools, market insights, and related functionalities provided via the Platform, including, but not limited to, manual entry, CSV import, or third-party API integrations.
“Subscription Plan” refers to the type of user access selected, whether Free, Pro, or Premium, including applicable billing cycles (monthly or annually) and associated features.
“Third-Party Services” means external services, APIs, data providers, or platforms that Orizon integrates with or uses (for example, market-data feeds or brokerage data aggregation), and that are operated by third parties.
“Terms” refers to these Terms of Service, as amended occasionally.
“User,” “you,” or “your” means any individual or entity who accesses, registers for, or uses the Platform, including both free and paid account holders.
“User Content” means content or materials that you (or those acting on your behalf) upload, submit, import, connect, or otherwise make available through the Platform, including portfolio data, files, feedback, and communications.
“We,” “us,” “our,” “Orizon,” or “Orizon Analytics” refers to Orizon Analytics LLC.
“Your Data” means data associated with your Account and use of the Platform, including User Content, account profile information, and usage metadata generated by your interactions with the Platform.
2.2. Eligibility
To access or use the Platform, you must be at least 18 or the age of legal majority in your jurisdiction, whichever is greater, and have the legal capacity to enter a binding agreement. The Platform is not intended for, and may not be used by, anyone under 18. If we discover or have reason to believe that you do not meet the minimum age requirement, we may suspend or terminate your Account immediately.
The Platform is operated from the United States and is intended for use by individuals in jurisdictions where the Services may lawfully be offered. You may not access or use the Platform if you are located in a country or region that is subject to U.S. government sanctions or embargoes, on any U.S. government list of prohibited or restricted parties (including the Specially Designated Nationals (SDN) list maintained by the U.S. Treasury Department); or prohibited from using the Platform under any applicable laws or regulations.
You are responsible for ensuring that your use of the Platform complies with all local, state, national, and international laws and regulations applicable to you.
3.1. Account Creation
To use certain features of the Platform, you must register for an account (“Account“) by providing a valid email address, creating a secure password, and supplying any other required information. By registering, you agree to provide accurate, current, and complete information and to update such information promptly if it changes.
Each user may only create and maintain one Account unless Orizon expressly authorizes otherwise. We may refuse registration, limit access, or terminate Accounts if information provided is inaccurate, misleading, or fraudulent, or otherwise violates these Terms.
3.2. Account Security and User Responsibilities
You are solely responsible for maintaining the confidentiality of your login credentials and all activities under your Account. You agree to: (a) keep your login credentials secure and not share them; (b) notify us immediately of any suspected unauthorized access or use; and (c) log out at the end of each session, especially on shared devices. We may require or offer multi-factor authentication; if enabled, you are responsible for its proper use.
To the fullest extent permitted by law, Orizon Analytics LLC is not liable for losses arising from your failure to comply with these obligations. You remain responsible for all activity under your Account, authorized or not. You may terminate your Account at any time in Account settings or by contacting support; data handling on termination is governed by our Privacy Policy.
We may suspend or terminate your Account and/or access to the Platform at any time, in our sole discretion, including for violations of these Terms or other policies, abuse or misuse of the Platform, suspected fraud, non-payment, or actions that may cause harm or liability to users, third parties, or Orizon. Upon termination, your right to use the Platform ceases immediately, and we may delete or deactivate your Account and associated data in accordance with our data-retention practices and applicable law.
4.1. Overview of Plans:
We offer subscription plans designed to accommodate different needs. From time to time, we may invite users to participate in Beta Access, during which select features or updates are made available before general release. Beta Access is optional, may be offered on any plan at our discretion, and may be modified or removed at any time; it may be subject to separate terms or limitations and is provided as-is without service-level commitments. Details on plan features are available on our pricing page or within Account settings.
4.2. Free Trial Details (14-Day Trial Terms)
New users may be eligible for a 14-day free trial. A payment method is not required to begin the trial. Unless you subscribe to a paid plan before the trial ends, your Account will immediately lose access to all features and data associated with the trial at the end of the 14-day period. You will be required to choose and purchase a paid subscription plan to regain access. One trial per user; trials are non-transferable and may not be combined with other offers unless we state otherwise. Eligibility and availability are at our discretion, and we may modify or end a trial early upon notice where permitted by law.
4.3. Pricing and Billing Cycles
Subscription fees are billed in advance based on the selected billing cycle (monthly, quarterly or annual) and are stated in U.S. dollars, exclusive of taxes. You are responsible for any applicable taxes, duties, or similar charges. We may modify pricing or plan features; any change will take effect at the start of your next billing cycle, and we will notify you in advance where required. If you do not agree to the new pricing or features, you may cancel before the change takes effect.
4.4. Payment Processing and Authorized Payment Methods
We use Stripe, a third-party payment processor, to handle subscription payments. By subscribing to a paid plan, you authorize us and our payment processors to charge your selected payment method for the applicable fees.
You represent that you are authorized to use the payment method and that your billing information is current and accurate. If a charge is declined or your payment method otherwise fails, we may suspend your Account until payment is successfully processed; we may also attempt to re-process charges using your stored payment method. Chargebacks or payment reversals may be treated as a breach of these Terms, and we may recover fees, costs, and expenses to the extent permitted by law.
4.5. Non-Refundable Payment Policy
All payments are non-refundable and non-creditable, including payments made in advance for monthly, quarterly or annual subscriptions, whether or not the Platform is used. We do not provide pro-rated refunds or credits for partial periods, downgrades, or unused time, except where required by law. We may, in our sole discretion, issue a goodwill credit; doing so once does not obligate us to do so again.
4.6. Automatic Renewal and Cancellation
All paid subscriptions automatically renew at the end of the billing cycle, unless canceled before the renewal date. By starting a paid subscription, you consent to recurring charges until you cancel. The applicable fee will be charged to your payment method on file at each renewal.
You may cancel your subscription at any. Cancellation takes effect at the end of the current billing cycle; you will continue to have access to paid features until then. Where required by law (for example, for certain annual renewals), we will send a renewal reminder and provide clear instructions on how to cancel.
4.7. Plan Switching (Billing Cycle Changes)
The primary difference between our subscription plans is the billing cycle (monthly, quarterly, or annual) and the discounted rate you receive for longer commitments. All plans provide full access to all features of Orizon Analytics—there are no hidden fees, feature tiers, or surprise paywalls.
You may switch your subscription’s billing cycle in your Account settings.
Since all plans offer the same features, switching your billing cycle will not result in any loss of functionality or data.
5.1. Permitted Uses
You may use the Platform solely to access analytics and insights for your own portfolio and in accordance with these Terms and applicable law. Permitted uses include: creating and managing an Account, entering, importing, or syncing your investment data, viewing analytics, charts, and reports; and using features included in your Subscription Plan. If you use the Platform on behalf of an entity, you may do so for that entity’s internal purposes.
5.2. Prohibited Uses
You agree not to use the Platform for any unlawful or prohibited purpose. Prohibited uses include, but are not limited to:
Violation of these rules may result in suspension or termination of your Account.
5.3. Fair Use and API Rate Limiting Policy
To ensure consistent performance and equitable access, API usage is subject to fair use limits as described below:
Limits may vary by Subscription Plan and may be adjusted to protect system stability. If your usage consistently exceeds limits, we may contact you about alternative plans or require adjustments. Continued overage may result in throttling, suspension, or termination of API access.
5.4. User Content and Data Import (Manual, API Integration)
You may submit your portfolio data to the Platform via Manual Entry by directly inputting holdings and positions, or by connecting your brokerage account(s) via API Integration through read-only third-party services.
You are solely responsible for the accuracy, completeness, legality, and rights to the data you upload or sync. You represent that submitting such data does not infringe third-party rights or violate any applicable law.
License to Operate the Service
To run the Platform, you grant Orizon a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and display Your Data (including minor format changes) solely to:
We do not use your identifiable portfolio data to train public AI models.
Orizon does not access, store, or use your brokerage login credentials. Any brokerage integrations are handled securely through read-only third-party API services.
6.1. Market Data API Usage
We use third-party market data APIs to deliver real-time and historical financial data, including stock prices, market indices, asset performance, and related metrics. These services are used solely to provide analytics and insights throughout your entire account.
We do not share personally identifiable information (PII) or user-submitted portfolio data with these market data providers. The integration is strictly one-way (data into Orizon) and limited to retrieving financial and market information.
6.2. Brokerage Account Syncing
We support integrations with third-party services to enable brokerage account syncing through secure APIs. Connections will be optional, user-initiated, and read-only—no trading, transfers, or changes to your brokerage settings. We will not store brokerage credentials; authentication occurs through a third-party aggregation service using industry-standard security protocols. Availability and functionality may change.
6.3. Disclaimer on Third-Party Services
The Platform may link to or integrate with third-party services, APIs, software components, or data providers (“Third-Party Services“). These services are not operated or controlled by Orizon.
Your use of Third-Party Services is at your own risk and is governed by those providers’ terms and privacy policies. We do not control and are not responsible for third-party content, availability, performance, accuracy, or security, and we disclaim liability for disruptions or limitations caused by Third-Party Services or data-source changes.
7.1. Informational and Analytical Purpose; Scope of Services
The Platform provides analytics, tools, and data to help you understand and visualize your portfolio. Except as provided in §7.2, content and functionality are for informational and analytical purposes and are not recommendations, solicitations, or offers to buy or sell any security, nor legal, tax, or accounting advice. Investing involves risk, including loss of principal, and past performance does not predict future results.
7.2. Advisory Status; No Brokerage or Custody
Orizon Analytics LLC is not a broker-dealer and does not execute trades or custody assets. If, and only to the extent, that you enroll in an advisory program and enter into a separate written advisory agreement with Orizon (and complete required onboarding), certain features of the Platform may constitute “investment advice” under applicable law. Any such advisory relationship is governed by that advisory agreement, our Form ADV and Form CRS, and applicable regulations. Use of the Platform alone, without an advisory agreement, does not create a fiduciary, advisory, or client relationship with Orizon.
7.3. User Responsibility for Investment Decisions
You are solely responsible for any investment decisions or actions based on your interpretation of the data or insights on the Platform. You acknowledge that investing involves inherent risk, including the loss of principal, past performance is not indicative of future results, and the information presented may not be complete, up to date, or applicable to your circumstances. Before making any financial or investment decisions, consult a licensed financial advisor, tax professional, or legal advisor. Orizon disclaims all liability for decisions based on information derived from or presented by the Platform.
8.1. Ownership of Platform and Content
All content, software, data, code, designs, text, graphics, reports, analytics, charts, user interface elements, trademarks, logos, and other materials provided through the Platform (collectively, the “Content“) are the exclusive property of Orizon or its licensors. All rights, title, and interest in and to the Platform and Content, including all associated intellectual property rights, are reserved and protected under applicable copyright, trademark, and other intellectual property laws. You acknowledge that you do not acquire any ownership interest in the Platform or its Content by accessing or using the services.
The Platform may include components licensed under open-source or third-party terms. Where applicable, those terms govern the use of those components.
8.2. License to Use Platform
Subject to your compliance with these Terms, Orizon grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform and its features for your personal, non-commercial use in accordance with your selected subscription plan. This license is granted solely to view and analyze your investment portfolio using the tools provided by the Platform.
8.3. Restrictions on Copying, Reverse Engineering, or Redistribution
You may not, directly or indirectly:
Any unauthorized use of the Platform or its Content constitutes a breach of these Terms and may result in immediate termination of your Account (See §10), in addition to legal remedies available under applicable law.
8.4 Feedback
If you provide feedback, ideas, or suggestions regarding the Platform (“Feedback”), you grant Orizon a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the Feedback without restriction or obligation to you. Feedback is not considered confidential.
9.1. Accuracy of Information
You agree to provide and maintain accurate, complete, and up-to-date information for your Account and for any data you upload, enter, or sync into the Platform. This includes your registration details and any personal or portfolio-related information used to generate analytics. You are solely responsible for verifying the accuracy and legality of that data. Orizon is not responsible for errors, omissions, or misrepresentations in user-submitted content or imported data.
9.2. Prohibited Behavior
In addition to §5.2 (Prohibited Uses), you agree you will not:
We may investigate suspected violations and take action we deem appropriate, including throttling, suspension, termination (see §10), legal action, or referral to law enforcement.
10.1. By User
You may terminate your Account at any time through Account settings or by contacting support. If you are on a paid plan, termination is effective at the end of your current billing cycle. Payments are non-refundable (see §4.5). After termination, access to premium features ends; any continued access will be limited to the Free plan, if available.
10.2. By Orizon Analytics LLC
We may suspend or terminate your Account or access to the Platform, in whole or in part, with or without notice, for reasons including: violation of these Terms or policies, abuse or misuse, excessive resource consumption, extended inactivity, suspected unauthorized or fraudulent behavior, non-payment, compliance with law, or discontinuation of the Platform or a feature (see §12).
If we terminate for cause (e.g., your breach), your access ends immediately and you are not entitled to any refund.
10.3. Effect of Termination
Upon termination: (a) your license to use the Platform ends; (b) your access to the Account and associated data, reports, and insights ceases; (c) we may delete or deactivate your Account and associated data in line with our data-retention practices and applicable law; and (d) provisions intended to survive (including, without limitation, intellectual property, Feedback, payment obligations, disclaimers, limitations of liability, indemnity, arbitration/dispute resolution if applicable, and general provisions) will continue in effect.
Data export. You are responsible for exporting or backing up any data or reports before termination. If we terminate notfor cause and continued access is reasonably feasible, we will make commercially reasonable efforts to provide a short retrieval window (generally up to 30 days) to export your data. We have no obligation to maintain or provide data after termination.
11.1. No Warranties
The Platform and all Content, data, insights, and Services are provided “as is” and “as available.” To the fullest extent permitted by law, Orizon disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy or completeness of data/insights, compatibility, and uninterrupted or error-free operation. You use the Platform at your own risk. We do not guarantee that our services meet your expectations or produce any specific financial or analytical outcome.
11.2. Service Availability and Accuracy of Data
We strive for reliable service but do not warrant that the Platform will be available at all times or free from interruptions, errors, delays, or harmful components. Financial and market data may be delayed, incomplete, inaccurate, or subject to third-party restrictions. We are not responsible for errors, interruptions, or limitations caused by Third-Party Services or data sources.
11.3. Limitation of Damages
To the maximum extent permitted by law, Orizon, its affiliates, licensors, service providers, employees, or agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages (including but not limited to loss of profits or revenue, loss of data or business opportunities, service interruptions or system failures, errors or inaccuracies) arising out of or related to these Terms or your use of the Platform.
Our total liability for any claim arising out of or related to these Terms or your use of the Platform shall not exceed the amount paid by you (if any) for the service in the three (3) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits liability for fraud, willful misconduct, or injury where such limitation is prohibited by law.
11.4. Indemnification by Users
You agree to defend, indemnify, and hold harmless Orizon and its officers, directors, affiliates, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Platform; (b) your breach of these Terms or applicable law; (c) Your Data or other content you submit, upload, or import; or (d) your infringement or alleged infringement of any intellectual-property, privacy, or other rights of a third party. We may assume exclusive control of the defense of any matter subject to indemnification; you will cooperate fully. You may not settle any matter without our prior written consent if the settlement imposes an obligation on, or admits fault by, Orizon.
We reserve the right to assume exclusive control of the defense of any matter subject to your indemnification, in which case you agree to cooperate fully with us in such defense.
12.1 Feature Updates and Modifications
We may modify, enhance, improve, update, or remove any aspect of the Platform at any time, with or without prior notice. This may include changes to features or tools, user interface or design, performance enhancements, usage limits and API access policies, and subscription plan details or pricing structure (pricing changes apply as described in §4.3). These changes may improve user experience, address security or legal compliance issues, respond to user feedback, or adapt to evolving market or technology standards.
We are not obligated to maintain any particular feature, functionality, or version of the Platform, and your continued use of the Platform following any such changes constitutes your acceptance of them.
12.2 Discontinuation of Services or Plans
We may discontinue, suspend, or sunset all or part of the Platform, a specific plan, or a particular feature, temporarily or permanently. We will make reasonable efforts to provide prior notice to affected users, offer migration options where practicable, and preserve access to your data for a reasonable period consistent with our data-retention practices.
If you are a paid user and the Service is permanently discontinued with no materially similar alternative available to you, your sole and exclusive remedy is a prorated refund of the unused portion of your current subscription term, where required by law.
These Terms and any dispute, claim, or controversy arising out of or relating to them or your use of the Platform are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules, and by the Federal Arbitration Act (FAA) with respect to arbitration.
Except as provided below, any dispute, claim, or controversy (collectively, a “Dispute”) between you and Orizon Analytics LLC shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or, if you access the Platform primarily for personal use, the Consumer Arbitration Rules), as applicable, and as modified by these Terms.
The arbitration will be conducted in English by a single arbitrator. The location will be as the parties agree, or, if no agreement is reached, in Sheridan County, Wyoming; however, where the AAA rules or applicable law allow, the arbitration may proceed by documents-only, teleconference, or video. The arbitrator shall apply the Terms as written, honor applicable statutes of limitations, and award only those remedies available in a court. Judgment on the award may be entered in any court of competent jurisdiction.
Delegation. The arbitrator (and not any court) shall have exclusive authority to resolve all Disputes relating to arbitrability, scope, formation, and enforceability of this arbitration agreement, except that a court may decide the enforceability of the class-action waiver in §13.1.
Small claims; injunctive relief. Either party may bring an individual action in small claims court in Sheridan County, Wyoming (or in your county of residence, where required by law) if the claim qualifies. Either party may seek temporary or preliminary injunctive relief in court to protect intellectual-property rights or prevent unauthorized access, use, or disclosure of data, pending a final decision by the arbitrator.
13.1. Waiver of Class Actions
You agree to resolve any dispute with Orizon only on an individual basis. Class arbitrations, class actions, private-attorney-general actions, and consolidation of proceedings are not permitted. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim(s).
If a court determines that this class-action waiver is unenforceable as to any claim, that claim (and only that claim) must be litigated in state or federal court located in Sheridan County, Wyoming, and not in arbitration. In such court proceedings, you and Orizon waive any right to a jury trial.
13.2. Informal Resolution Process; Notice of Dispute
Before starting arbitration, you agree to first try to resolve the Dispute informally by emailing compliance@orizonanalytics.io with a written description of the issue, your contact information, and the relief sought. We will work in good faith to resolve the matter within 30 days after receiving your notice. If unresolved after 30 days, either party may commence arbitration.
13.3 Arbitration Opt-Out
You may opt out of this arbitration agreement by emailing compliance@orizonanalytics.io with your name, the email tied to your Account, and a clear statement that you are opting out of arbitration within 30 days of first accepting these Terms. Opting out will not affect other provisions of the Terms. If you opt out, Disputes will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you and Orizon waive any right to a jury trial.
13.4 Fees and Remedies
The AAA rules govern arbitration fees. The arbitrator may award individual relief (including injunctive relief) available under applicable law, but may not award relief for or on behalf of anyone who is not a party.
13.5 Survival
This Section 13 survives termination of your Account and cessation of use of the Platform.
14.1 Entire Agreement
These Terms, along with our Privacy Policy and any other legal notices or policies posted on the Platform, constitute the entire agreement between you and Orizon with respect to the use of the Platform. They supersede all prior or contemporaneous understandings, agreements, communications, and proposals, whether oral or written, between you and us.
14.2 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions remain in full force. The unenforceable provision will be deemed modified to the minimum extent necessary to make it enforceable while preserving its intent.
14.3 No Waiver
Our failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Orizon.
14.4 Assignment
You may not assign, delegate, or transfer your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this clause shall be null and void. Orizon may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate restructuring, or sale of assets.
14.5 Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, governmental actions, labor disputes, power failures, internet outages, system failures, third-party service interruptions, or other events of force majeure.
14.6 Notices
We may provide notices to you via the Platform, email to the address associated with your Account, or other reasonable means. Legal notices to Orizon must be sent to compliance@orizonanalytics.io and to: Orizon Analytics LLC, 30 N Gould St #49846, Sheridan, WY 82801, USA.
14.7 Export and Sanctions Compliance
You represent that you are not located in, under the control of, or a national or resident of a country or region subject to U.S. sanctions/embargoes and are not on any U.S. government restricted-party list. You agree to comply with all applicable export-control and sanctions laws in using the Platform.
